ClearPath Digital is a Singapore-based AI consultancy led by Derek Bay. We provide digital services to small businesses, including website revamps, SEO and AEO optimisation, AI chatbot integration, AI video creation, and AI caller automation.

3. Our services

The services described on this website are offered subject to a separate written agreement between ClearPath Digital and the client. Nothing on this website constitutes a binding offer or contract. A service engagement only begins once:

• A written proposal has been issued by ClearPath Digital
• The client has accepted the proposal in writing (including by email)
• Any agreed deposit or payment has been received

We reserve the right to decline any enquiry or project at our discretion, including projects that fall outside our stated scope (such as those requiring complex authentication systems, security infrastructure, or large-scale databases).

4. Use of this website

You may use this website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable local, national, or international law
• Attempt to gain unauthorised access to any part of the website or its underlying systems
• Transmit any unsolicited or unauthorised advertising or promotional material

Work we create for you: Upon full payment, all deliverables produced for a client (website files, chatbot configurations, video assets, etc.) are transferred to the client. ClearPath Digital retains no ongoing claim over those specific deliverables. We do, however, retain the right to reference completed work in our portfolio with the client's permission.

6. Enquiries and proposals

When you submit an enquiry through our contact form or book a discovery call, you are not entering into a binding contract. The enquiry process works as follows:

• Discovery call: A free, no-obligation 30-minute call to understand your needs. No commitment is required.
• Written proposal: Following the discovery call, we will provide a written proposal outlining scope, deliverables, timeline, and a fixed price. This proposal is valid for 14 days from the date of issue.
• Acceptance: A binding agreement begins only when you accept the proposal in writing and any required deposit is paid.

All prices on this website are indicative starting prices. The exact price for your project is confirmed in the written proposal.

7. Payment and scope

Payment terms are specified in each individual project proposal. Standard terms include:

• A deposit (typically 50%) is due before work commences
• The remaining balance is due upon project completion and before final delivery
• Monthly retainer services (such as SEO & AEO) are billed in advance each month
• Per-unit services (such as AI video creation) are billed per the agreed unit price

Any changes to the agreed scope after a proposal has been accepted may result in revised pricing, which will be communicated and agreed in writing before additional work begins.

Late payments may result in a pause to ongoing work. We reserve the right to withhold final deliverables until full payment is received.

8. Disclaimers

In particular:

• Results from SEO, AEO, and digital marketing services cannot be guaranteed. Search engine rankings depend on many factors outside our control.
• AI tools and services are evolving rapidly. We make no warranty that any particular AI platform, model, or integration will continue to perform as expected over time due to changes by third-party providers.
• Case studies, examples, or projected outcomes shared during a discovery call are illustrative, not guarantees of the same results for your business.

9. Limitation of liability

To the fullest extent permitted by applicable law, ClearPath Digital shall not be liable for:

• Any indirect, incidental, special, or consequential loss arising from your use of this website or our services
• Loss of profits, revenue, data, or business opportunities
• Any errors, interruptions, or unavailability of this website
• Actions or omissions of third-party service providers (including AI platforms, form processors, or hosting providers)

Where liability cannot be excluded by law, our total liability to you in connection with any project shall not exceed the total amount paid by you for that specific project.
